Constitution of CICPMC
Chapter 1 General Principles
Article 1
The name: China International Council for the Promotion of Multinational Corporations (CICPMC).
Article 2
CICPMC is a professional (complete organizational nature, such as academic, joint, professional, industrial) and nationwide non-profit institution practicing membership system which is voluntarily formed by enterprises, entrepreneurs and related organizations and experts and scholars (of which must contain: composed of personnel or units) who are engaged in cross-border production, trade and economic exchanges and cooperation registered in China.
Article 3
The purpose: to promote growth and development of Chinese multinational corporations,
to promote the localization process of foreign multinational corporations in China, to
promote exchanges and cooperation between Chinese and foreign multinational
corporations and large-scale enterprises, contributing to the healthy and sustainable
development of China’s economy. CICPMC complies with the Constitution, laws,
regulations and policies of PRC, as well as the social ethics.
Article 4
CICPMC accepts the professional guidance and supervision from the Ministry of Civil Affairs of P.R.C. which is the registration authority, and the Ministry of Commerce of P.R.C. which is in charge of CICPMC.

Chapter 2 Business Scope
Article 6
The Business Scope of CICPMC
(1) Foster, support and promote the development of Chinese multinational corporations, and promote the healthy growth of Chinese companies overseas.
(2) Promote the healthy development of foreign multinational corporations in China, as well as the exchange and cooperation between Chinese and foreign multinational corporations and large-scale enterprises.
(3) Hold the exhibition display entrusted by the government or according to the development of the market and industry, set up interactive platform for Chinese and foreign multinational enterprises, carry out international activities for exchange and promotion, and provide constructive and guiding advisory services for Chinese and foreign multinational corporations.
(4) Forge a bridge of exchange and contact between the Chinese and foreign multinational corporations and the government, provide services and help to Chinese multinational corporations for expanding their international business and to foreign enterprises for making the production and management according to the law in China.
(5) Accept the topics designated or entrusted by the state and the relevant international organizations, Chinese and foreign multinational corporations and well-known enterprises, and organize the Chinese and foreign economists to make applied research in combination with practice in accordance with Chinese laws and regulations and provide ground for their decision making.
(6) Provide the Chinese and foreign multinational enterprises with science and technology as well as recommendation of personnel. Provide legal consultation and network information service. Run professional training of various types. Edit and publish relevant newspapers and periodicals and books according to the relevant regulations.
Chapter 3 Membership
Article 7
Membership types of CICPMC: individual members and corporate members
Corporate members must be the multinational corporations registered in China and the units and organizations engaged in the research on multinational corporations and international economics
Individual members are the well-known experts, scholars and entrepreneurs who are accomplished in the research on the economics and international operations.
Article 8
Those who apply for membership of CICPMC should meet the following requirements:
1. Approve the CICPMC Constitution;
2. Apply for and join CICPMC of one’s own accord;
3. Have some influence in the field (industry, academics)
Article9
Procedures for admittance to CICPMC:
1. Submit application to CICPMC for admittance;
2. Discussed and approved by the Council
3. Issued membership certificate by the Council or the agency authorized by the Council
Article 10
Members enjoy the following rights:
1. The right to vote, to be voted and to decide of CICPMC
2. Attend the activities of CICPMC
3. Enjoy the priority access to the service of CICPMC
4. The right of criticisms, suggestions and supervisions to CICPMC
5. Voluntary membership, and free withdrawal from membership
Article 11
Members perform the following duties:
1. To implement the resolution of CICPMC
2. To maintain the legitimate rights and interests of CICPMC
3. To complete the work assigned by CICPMC
4. To pay the required fees in time
5. To report to CICPMC and provide the relevant information
Article 12
Members should notify CICPMC in writing when withdrawing from CICPMC, and return their membership certificates. If a member does not pay membership dues or does not attend the activities of CICPMC for a year(generally up to 3 years), he is deemed to be withdrawn automatically from CICPMC.
Article 13
If a member seriously violates this constitution, CICPMC shall dismiss him form CICPMC after the voting of the Council or General Council.
Chapter 4 Organizational Structure and Generation and Recall of the Head
Article 14
The highest power organ of CICPMC is the Members’ Congress. Functions and powers of the Members’ Congress are as follows:
1. Make and revise CICPMC Constitution
2. Elect and dismiss directors
3. Review the working report and financial report of the Council
4. Make and revise the standard membership fees
5. Make decisions on termination affairs of CICPMC
6. Discuss and decide CICPMC development policies and tasks
7. Make decisions on the other important affairs of CICPMC
Article 15
The Congress can only be convened with the quorum of over 2/3 member representatives, and its resolutions can only come into effect when they are adopted by vote by more than 50% of the representatives.
Article 16
The term of the Members’ Congress is five years. Under special circumstances, the Congress may be convened on an earlier or later date as deliberated and decided upon by the Council, and reported to the unit in charge of CICPMC, and approved by the society’s registration authority. But the extension of the maximum change should be less than 1 year
Article 17
Under CICPMC is the Council. The Council is an executive organ for the Members’ Congress responsible for the Members’ Congress by offering the routine work during the recess of the Members’ Congress.
Article 18
The functions and powers of the Council are as follows:
1. Implement the resolutions of the Members' Congress;
2. Make decision on admittance or removal of president, deputy-president, secretary-general, executive directors;
3. Make work report and financial status report to the Members’ Congress;
4. Make the working report and financial report to the Members' Congress;
5. Make decisions on the absorption or removal of members
6. Make decisions on the setting up of office-branches, sub-branches, representative offices and entities institutions
7. Make decisions on nomination and invitation of deputy secretaries-general, and personnel in charge of various departments
8. Lead the work of various agencies of CICPMC
9. Make the internal management system;
10. Make decisions on the other important affairs of CICPMC
Article 19
The Council meeting can be held only with quorum of 2/3 members and resolutions can only be effective when adopted by 2/3 members.
Article 20
The Council meeting should be held at least one session each year. It may be held in a form of communications when necessary.
Article 21
Under CICPMC is the executive Council. The executive Council is elected by the Council, and makes the exercise of power of term 1, 3, 5, 6, 7, 8, 9 of Article 18, responsible for the Council (standing no more than 1/3 of the numbers of the Council)
Article 22
The executive Council meeting can be held only with quorum of 2/3 members and resolutions can only be effective when adopted by 2/3 members.
Article 23
The executive Council meeting shall be held every six months per year. It may be held in a form of communications when necessary.
Article 24
The president, deputy-president, secretary-general of CICPMC shall meet the following qualifications:
1. He or she should adhere to the Party’s line, principles and policies, and be of good political quality;
2. He or she should have rather great influence in the industry concerned;
3. The highest age for president, deputy-president is no more than 70;
4. The highest age for secretary-general is no more than 70, and he or she holds the full-time position;
5. He or she enjoys good health, and can go in for normal work;
6. He or she has no criminal record deprived of political rights;
7. He or she has full civil behavioral ability;
Article 25
If the president, deputy-president and Secretary-General is in excess of the maximum working age, It should be deliberated and decided upon by the Council, and reported to the unit in charge of CICPMC, and approved by the society’s registration authority before his service.
Article 26
The tenure of office for CICPMC president and deputy-presidents and secretary-general is five years, and the longest tenure of office shall not exceed two terms. If it needs to be extended, because of special circumstances, it shall be approved by over two third majority votes of Members’ Congress and submitted to the unit in charge of CICPMC, and approved by the society’s registration authority before they can continue to assume office.
Article 27
The executive deputy-president of CICPMC shall be the legal representative of CICPMC, and he is responsible for signing the important documents on behalf of CICPMC. If the legal representative is the president or the chairman, the content filled tip:
If due to special circumstances, the legal representative is assumed by the vice chairman (Vice President), or the Secretary-General, it should be reported to the unit in charge of CICPMC, and approved by the society’s registration authority before his or her service. The legal representative of CICPMC does not act as legal representative of other organizations.
Article 28
The president shall execute the following functions and powers:
1. Convene and preside over the Council meeting and executive Council meeting;
2. Examine the implementation of resolutions made by the Members’ Congress, the Council meeting and executive Council meeting;
Article 29
The secretary-general shall execute the following functions and powers:
1. Take charge of and carry out routine work and organize and implement annual work plan;
2. Coordinate with subcommittees, representative offices, (if any entity institutions, check this option box) entity institutions to carry out work;
3. Nominate deputy secretaries-general and main leaders of offices, branches, representative offices and entities institutions, and subordinate to the Council or executive Council to determine;
4. Decide the recruitment of specialized duty personnel for offices, representative offices, entities institutions;
5. Handle other routine matters
Chapter 5 Assets Management & Usage Principle
Article30
CICPMC sources of funds:
1. Membership dues;
2. Donations;
3. Government subsidies
4. Legitimate income from CICPMC activities carried out within its business scope;
5. Interest;
6. Other legitimate income.
Article 31
CICPMC collects the membership fees according to State regulations. If CICPMC has business within the appraisal, selection, recognition and other activities, content filled Note: it charges no fees to carry out appraisals, evaluation, recognition and other activities.
Article32
CICPMC funds must be spent within its business scope and for its development according to the provisions of the Constitution. The funds cannot be distributed among the members.
Article 33
A strict financial control system must be set up in CICPMC to ensure that the accounting materials are lawful, authentic, accurate and complete.
Article 34
CICPMC is equipped with qualified accounting personnel. An accountant cannot be a cashier at the same time. Accountants must be subject to accounting and supervision. When an accountant is transferred to another post or resigns, there must be a clear hand-over and take-over procedure and special audit shall be carried out if necessary.
Article 35
The CICPMC assets management must implement the national financial management system requirements, and accept the supervision from the Members’ Congress and the financial sector. Assets from state funds or public donations, funding must accept the supervision of audit organs, and the situation must be report to the public in an appropriate manner.
Article 36
CICPMC must accept the financial auditing organized by the unit in charge of CICPMC, and the society’s registration authority before the general or replacement of the legal representative of CICPMC.
Article 37
Any unit or individual may not occupy, embezzle and misappropriate the assets of CICPMC.
Article 38
Wages, insurance and welfare of the full-time personnel of CICPMC shall be implemented in reference to related State stipulations.
Chapter 6 Constitution Amendment Procedure
Article 39
Any amendment of CICPMC Constitution shall be approved by the Council and delivered through y the Members’ Congress.
Article 40
The amended Constitution shall, within 15 days after being voted through by the Members Congress, be submitted to the business department in charge and the society’s registration authority for examination and approval and then go into force.
Chapter 7 Termination Procedure and Liquidation
Article 41
A termination motion shall be put forward by the Council meeting or executive Council meeting when CICPMC needs to be cancelled because of its dissolution of its own accord or due to its separation or merger.
Article 42
The motion shall be voted through by the Members Congress and submitted to the business department in charge for verification and approval.
Article 43
Prior to termination, a liquidation team shall be set up under the guidance of the business department in charge and relevant organs, to settle claims and debts and handle remaining matters.
Article 44
CICPMC shall be terminated after it is approved and cancelled by the society’s registration authority.
Article 45
The remaining property after the termination shall be used for the development of the related business of CICPMC in accordance with relevant State regulations under the supervision of the business department in charge and the society’s registration authority.
Chapter 8 supplementary Article
Article 46
This constitution is approved by the 5th session of the 4th members Congress on November 13, 2008.
Article 47
The power to interpret this Constitution shall remain with the Council meeting of CICPMC.
Article 48
This Constitution shall come into force on the date when it is examined and approved by the society’s registration authority.
